If Agency fails to meet the requirements of this Agreement or the underlying federal <br />regulations, State may withhold Agency's proportional share of Highway Fund <br />distribution necessary to reimburse State for costs incurred by each Agency breach: <br />Agency will be ineligible to receive or apply for any Enhancement funds as part of this <br />Project until State receives full reimbursement of the Enhancement costs incurred. <br />23. State may conduct periodic inspections during the life of Local Agency Certification <br />Projects to verify that Projects are being properly maintained and continue to serve <br />the purpose for which federal funds were provided. <br />EXHIBIT B, Page 8 shall be deleted in its entirety. <br />This Amendment may be executed in several counterparts (facsimile or otherwise) all of <br />which when taken together shall constitute one agreement binding on all Parties, <br />notwithstanding that all Parties are not signatories to the same counterpart. Each copy of <br />this Amendment so executed shall constitute an original. <br />THE PARTIES, by execution of this Agreement, hereby acknowledge that its signing <br />representatives have read this Agreement, understand-it, and agree to be bound by its <br />terms and conditions. <br />This Project was approved by the Oregon Transportation Commission on November 14, <br />2007 as part of the 2008-2011 Statewide Transportation Improvement Program (STIP), <br />Key No. 14763. <br />The Oregon Transportation Commission on December 29, 2008, approved Delegation <br />Order No. 2, which authorizes the Director to approve and execute agreements for day- <br />to-day operations. Day-to-day operations include those activities required to implement <br />the biennial budget approved by the Legislature, including activities to execute a project <br />in the STIP. <br />Signature page to follow <br />Page 4 of 5 <br />
