Exhibit A <br />1.0 DESCRIPTION OF WORK <br />Contractor shall prepare management plans for up to five sites within the Willamette Valley. TNC will prioritize amongst sites <br />and communicate order and timing with Contractor. Management plans will follow TNC outline as provided below. Contractor <br />will not be responsible for production'of any Figures or Appendices but will incorporate both as they are available into the <br />management plans. <br />2.0 ACCESSWCATION <br />When accessing privately-owned sites permission will be granted by the landowner. TNC will obtain permission to access all <br />property under private ownership. TNC will supply site location aerial photographs, phone contacts where necessary, gate keys, <br />and any other information to assure access to all sites. Sites are located on varied terrain from steep to gentle slopes with various <br />distances from roads. <br />3.0 TIMELINE and DELIVERABLES: <br />TNC will prioritize order and timing of all management plans. Contractor will develop draft management plans no later than <br />December 31, 2010. TNC will review draft and provide comments no later than January 31, 2011.
