PERSONAL SERVICES CONTRACT. <br /> <br /> BETWEEN: The City. of Eugene, an Oregon <br /> Municipal Corporation (City) <br /> AND: Advanced Marketing Research, Inc. (Contractor) <br /> CONTRACT NO.: 2009 - 00326 <br /> RECITALS <br /> A. Contractor is engaged in the business of providing professional public opinion research <br /> services. <br /> B. City desires to engage Contractor to provide the services described in this agreement and <br /> Contractor is willing to provide such services on the terms and conditions set forth herein. <br /> C. The following are attached and incorporated as a part of this contract: <br /> Exhibit A -City of Eugene Standard Contract Provisions <br /> Exhibit B -Scope of Services <br /> AGREEMENT <br /> 1. Services to be Provided. Contractor agrees to provide to City the following services ("the <br /> Work"): <br /> The statement of Work is contained in the attached Exhibit B <br /> 2. Time for Completion. Contractor shall commence the Work-upon signature and shall <br /> complete the Work prior to June 30, 2009. <br /> 3. Consideration. The fixed consideration which City shall pay to the Contractor for the <br /> Work, including any expenses incurred by Contractor in performing the Work, shall be <br /> $9,110.00 for 400, 10-minute telephone surveys (anticipated to be on or before May 30, <br /> 2009). City shall make apre-payment in the amount of $4,555.00. Upon acceptance of <br /> the work, City shall make a final payment in the amount of $4,555.00 based on a final <br /> invoice from the Contractor reflecting this amount. City's payments shall be made by June <br /> 30, 2009. <br /> 4. Termination. Notwithstanding any other provision hereof to the contrary, this contract may <br /> be terminated as follows: <br /> 4.1 The parties, by mutual written agreement, may terminate this contract at any time. <br /> 4.2 Either party may terminate this contract in the event of a breach of the contract by <br /> the other party. <br /> StandaM Contract Provisions--Paget <br /> (Revised December 2005) <br /> <br />
