TRADE SERVICES CONTRACT (Non-Facility) BETWEEN: The City of Eugene, an Oregon Municipal Corporation (City) AND: Toms Landscapes (Contractor) CONTRACT NO.: .2004 - 05334 EFFECTIVE DATE: Upon signature of both parties RECITALS . A. Contractor is engaged in the business of Tree Planting Services ,and has obtained and currently holds all licenses, permits, certifications, bonds or other authorization required by Federal, State or local law or regulations to engage in such business. B. City desires to engage.Contractor to perform the services described in the attached- Exhibit D (the "Services"). Contractor has represented that it is qualified to perform the Services, . and desires to enter into this contract with City on the terms set forth below.- AGREEMENT 1. Engagement. City hereby engages Contractor to perform, the Services, and Contractor agrees to perform the Services, according to the terms and conditions set forth herein and in the following exhibits: Exhibit A -City of Eugene Standard Contract Provisions Exhibit B -Specifications Exhibit C -Schedule of Rates 2. Term. The term of this contract shall be for one year unless earlier terminated in accordance with paragraph 16. The contract shall begin upon'signattare of both parties. 3. Consideration. As consideration for pertormance of services, City will pay`upon invoice' within 30 days, according to the schedule of rates. Except as expressly set forth herein, Contractor shall bear all expenses of performing the Services. 4. Equipment. As set forth in Exhibit B, Contractor shall provide all materials, equipment, supplies or other items required for performance of the Services. 5. Contract Administration. Each party designates the following as its representative for purposes of notice pursuant to paragraph 23, and for purposes of administering this contract: Non-Facility Trade Service Contract-Page 1 (Revised December 1997)
