Agency agrees to comply with all Federal, State, and local laws, regulations, <br /> executive orders and ordinances applicable to the work under this agreement, <br /> including, without limitation, the provisions of ORS 279.312, 279.314, 279.316, <br /> 279.320 and 279.555, which hereby are incorporated by reference. <br /> i <br /> ~ 6. Agency represents and warrants as follows: <br /> (a) Agency has full legal right and authority and all necessary licenses and <br /> ~ permits required as of the date hereof to own the Agency Project, other than <br /> licenses and permits relating to the Agency Project which Agency expects to <br /> obtain in the ordinary course of business, to carry on its activities relating <br /> thereto, to execute and deliver this Grant Agreement, to undertake and <br /> complete the Agency Project, and to carry out and consummate all <br /> transactions contemplated by this Agreement. <br /> (b) The Agency may undertake A enc Project ursuant to Ore on law. <br /> g Y J P g <br /> A e <br /> nc is authorized b I <br /> 9 Y y aw to receive grant moneys. <br /> (c) The proceedings of the Agency's governing members approving the City <br /> Manager's authority to execute, issue and deliver this Agreement on behalf <br /> of the Agency and authorizing Agency to undertake and complete the <br /> A enc <br /> Project have been dul and lawf II <br /> 9 Y 1 Y u y adopted in accordance with the <br /> <br /> j .laws of Oregon, and such proceedings were duly approved and published, if <br /> necessary, in accordance with applicable Oregon law, at a meeting or <br /> meetings which were duly called and held in accordance with applicable <br /> Oregon law and at which quorums were present and acting throughout. <br /> (d) This Agreement has been duly authorized, executed and delivered by an <br /> Authorized Officer of Agency, and, assumin that ODOT has all the re uisite <br /> 9 q <br /> power and authority to authorize, execute and deliver, and has duly <br /> authorized, executed and delivered, this Agreement, this Agreement <br /> constitutes the legal, valid and binding obligation of Agency in accordance <br /> with its terms. <br /> 7. Agency covenants and agrees to promptly provide, upon ODOT's request, copies of <br /> all permits, plans and specifications relating to the Agency Project. Agency shall <br /> obtain as-built drawings for all facilities of the Agency Project and obtain certification <br /> 2003 OTIA Program IGA page 4 of 9 <br /> <br />
