,.:ft ~ ~ n ergovernmer~t~r .,~gr ''~t ' s - <br /> ~i; <br /> City of Eugene <br /> .West gene C a r <br /> THIS AGREEMENT is entered into by and between LANE COUNTY, a political <br /> subdivision of the State of Oregon, hereinafter referred to as COUNTY, and the CITY <br /> OF EUGENE, hereinafter referred to as CITY. <br /> RECITALS <br /> 1. In accordance with Lane Manual 21 and by the authority granted in ORS <br /> 190.010 and the Lane County Home Rule Charter, units of local government may enter <br /> .into agreements for the performance of any and all functions and activities that a party <br /> to the agreement, its officers or agents, have authority to perform. e <br /> 2. The parties have determined that it is in fihe public interest for COUNTY and <br /> CITY to participate in the West Eugene Collaborative (WEC) process in accordance <br /> with the terms and conditions of COUNTY Board Order No. 07-11-28-5. <br /> AGREEMENTS <br /> .BOTH PARTIES AGREE THAT: <br /> 3. Lane County Road Funds will be used exclusively to support the WEC <br /> process, which will concurrently address congestion and safety issues on Highway 126 <br /> from Green Hill Road to Territorial Highway. <br /> 4. The term of this agreement shall commence on execution and terminate no' <br /> later than December 31, 2008. The amount of the agreement will not exceed $40,000. <br /> The parties may }ointly agree to terminate this agreement and upon the terms of such <br /> #ermination. The County may terminate this contract at any time for any reason or for <br /> no reason-with no liability on .its part by giving CITY 30 days written notice. <br /> 5. To the extent allowable by the Oregon Constitution, Oregon Revised Statutes <br /> and the Oregon Tort Claims Act, each of the parties hereto agrees to indemnify and <br /> save the other harmless from any c{aims, liability or damages including attorney fees <br /> arising out of or resulting from any error, omission or act of negligence on the part of the <br /> indemnifying party, its officers, or employees in the performance of this agreement. <br /> 6. Dispute Resolution. The parfies shall exert every effort to cooperatively <br /> resolve any disagreements they may have under this Agreement. In the event that the <br /> ..parties alone are unable to resolve any conflict under this Agreement, they agree to <br /> <br /> :present their disagreements to a mutually selected mediator. Each party shall bear its <br /> own costs for. mediation and the parties shall share the cost of the mediator. This <br /> <br />
