CITY OF EUGENE
INTER-DEPARTMENTAL MEMORANDUM
CITY ATTORNEY -CIVIL DEPARTMENT
To: Dennis M. Taylor, via Teri Higgins Date: January 24, 2006
Subject: East Ridge Development -Assignment and Assumption Agreement
CONFIDENTIAL ATTORNEY/CLTBNT COl\IIYIITNICATION-NOT
SUBJECT TO RELEASE UNDER THE PUBLIC RECORDS ACT
Dennis -
This memo requests your signature on four copies of an Assignment and Assumption Agreement
related to the East Ridge development and improvements at the Glenwood Boulevard/I-5
interchange. `
Previously, in November, you signed a "developer agreement" between the City and East Ridge
Development, LLC that provides. for the City to serve as project manager for certain interchange
improvements that will be funded by the developer and a grant from Lane County. The developer
agreement provides for the developer to make a security deposit to assure completion of the
developer's obligations.
The original developer has sold out to East Ridge Development, LLC. In the developer agreement
you signed in November, the City acknowledged that the former developer would assign the security
deposit to East Ridge Development. The attached Assignment and Assumption Agreement
effectuates that assignment, and it requires the City's approval.

' I apologize for the "whiteout" underneath the line for your signature. The original draft did not
include your middle initial, and, because of the uneasy relationship between the original developer
and East Ridge Development, LLC, it was not possible to obtain new original signatures from the
original developer.
After you have signed the Assignment and Assumption Agreement, I will return them to East Ridge
Development's attorney for acknowled ent by the bank that holds the security deposit.
2-7'-~(° ~`Qp N~ ~ ~?CECV~T E~ A (x R (~tr.YY~~ N"I~
Thank you for your assistance.
