Terms and Cor~ditia~s of Sale
<br />By acceptance of material, customer agrees that this transaction is subj'ect.#o,the Credit,Agreement
<br />drawn by United Pipe & Supply Co., Inc. (hereinafter referred to as Unifed Pipe) whether ar not the
<br />transactian occurred under a signed credit agreement.
<br />Purchaser(s) shali pay ail invoices in full by,receipt in our office within 30 days firom invaice date ar in accardance with
<br />the terms printed an each invoice, and agrees ta pay a Iate payment charge of 1.5% per month (18%~ per annum) on
<br />invoices nat paid when due. Payments that deduct discounts must be mailed and postmarked by th~ discount date
<br />an the invoice. If purchaser(s) fail to pay any invoice in full when due, purchaser shall pay United Pipe's reasonable
<br />attorney fees and costs, for any court annexed arbitration, an any appeal, and on denial of any pE~titiori for review even
<br />if na actian is filed. Jurisdiction of any actian may, at the soie option of United Pipe, be the courts of the state of Oregon
<br />with venue in Washington County, the state of Washington with venue in King Caunty, or the state of Idaho. with venue
<br />in Ada County. Purchaser{s) consent to such jurisdictions and venues. This agreement shall be c~overned by and
<br />construed in accordance with the state where the actian is filed. If the account is referred to a third party cc~liectian
<br />agency, purchaser(s) agree to pay all coilection costs equal to a minimum of 35°fo of the princip~,l amount due.
<br />Prices are subject to change withaut notice. The amount of any United Pipe invoice shal! be conclusively birrdir~g upon
<br />purchaser(s} as due unless, purchaser(s) objects in writing within 10 days~of invoice date.
<br />Purchaser(s) agree that claims for shartages andlor notice of non-conforming goods must be m~~de within 72 houcs
<br />of delivery. All returns must be pre-approved by United Pipe, accampanied by proofi of purchase, and are subject ta a

<br />minimum of 15°o restocking charge. Special arder or non-stock items may not be returned.

<br />to the delivery, nondelivery, sate, or use of goods regardless of whether such damage(s} arise out of contract,
<br />warranty, negligence, strict liability, or tart. The purchaser(s) right, now existing ar-arising~ any time in the ,' :
<br />future, to, recover such damages is hereby waived, reieased and discharged. No abligation of United Pipe ;,_ ,.

<br />construc#ion or landscape methods. Therefore, instruc#ions should be useci only with the 9r~dependent appraval
<br />of technically qualified persons. :
<br />If any term of this agreement is invalid, the invalid language shall be considered deleted from this agreement
<br />and sha11 not invalidate the remaining language.
