Terms and Conditions of Sale
<br />By acceptance of material, customer agr~es that this transaction is subject;to;_the Credit..Agreement
<br />drawn by United Pipe & Supply Co., Inc. (hereinafter referred ta as United Pipe)~whether or not the
<br />transactian occurred under a signed credit agreement.
<br />Purchaser(s} shall pay all invoices in full by,receipt in our affice within 30 days from invoice date ar in accnrdance with
<br />the terms printed on each invoice, and agrees to pay a late payment charge of 1.5% per mpnth (18°r'o per annum) on
<br />invaices nat paid when due. Payments that deduct discaunts must be mailed and postmarked by the discount date
<br />on the invoice. If purchaser(s} fail to pay any invoice in full when due, purchaser shail pay United Pipe's reasc~nable
<br />attorney fees and costs; for any caurt annexed arbitratian, on any appeal; and on deniai of any petition for review even
<br />if no actian is filed. Jurisdiction ofi. any action may, at the sofe option of tJnited Pipe, be the courts c~f the state af CJregon
<br />with venue in Washington County, the state of Washingtan with venue in I{ing County, or the statE' of Icfaho with venue
<br />in Ada Caunty. Purchaser(s) consent to such jurisdictions and venues. This agreement shall be c~overned by and
<br />construed in accordance with the state where the action is filed. If the account is referred to a th~rd par#y coElectian
<br />agency, purchaser(s} agree to pay all collection costs equal to a minimum of 35% of the principal amaunt due.
<br />Prices are subject to change without notice. The amount af any United Pipe inuoice shal( be conclusively binding upon
<br />purchaser(s) as due unless, purchaser{s) objects in writing within 10 days of invoice date.
<br />Purchaser(s) agree that claims for shortages andlor natice of non-conforming goads must be made within 72 haurs
<br />of delivery. All returns must be pre-approved by United Pipe, accompanied by proaf of purchase, and are subj~ct to a

<br />rninimum of 15°ro restocking charge. Special arder ar non-stock items may not be returned.

<br />damages of any kind shall be recoverable from United Pipe arising by reason of or'relatec~ to goods provided
<br />or to be provided at any time in the future or any other acts by ar through United Pipe including but not limit~d
<br />to the delivery, nondelivery, sate, or use of goods regardtess of whether such damage{s) arise out of contract,
<br />warranty, negiigence, strict iiability, or tort. The purchaser{s) right, now existing ar-~arisir~g any time in th~ '
<br />future, to recover such damages is hereby waived, released and discharged. ~do abligation of United P~pe __„
<br />concerning°or relating to the gaods shall be deemed a perforrr-ance specification af any kind. The sole~and '
<br />exclusive remecly shall be replacement or refund af payment at United Pipe's aption.
<br />Disciaimer of Warra.nties LL Any warranties made by the manufacturer of the products sold by United pipe';are
<br />those of the manufacturer only. United Pipe disclaims any and afi warranties incluc{ing those of inerchanfability
<br />or fitness for a particular purpase (express and implied) either concerning or relating ta any and att goods
<br />provided or to be provided at any time in the future or concerning or relating ta any other acts by or through;
<br />United Pipe.
<br />Suqqestions_for_considerati_on__ Any suggested maintenance and installation instructions are suggestians far
<br />consideratinn and United Pipe makes no representations ar warranties concerning their use. Any'of the~ ~~
<br />instructions may not be suitable in some areas because of local trade practices, weather cponditions or
<br />canstruction or landscape methods. Therefore, instructions should be used only with the independent approval
<br />of technically quafified persons. ~~ ~
<br />if any term ofi this agreemen# is invalid, the invalid language shall be considered deleted from this agreement
<br />and shall not invalidate the remaining language.
