~ '~ ~ ` _ t {~~' 7 A G R E E M E N T THIS AGREEMENT is by and between EUGENE LdAT~R ~ ELECTRIC BOAF.D, hereinafter called the sender, and the CITY OF EUGENE, hereina~ter called the recipient. 1) Effective Date This Agreement shall be effective on the date shown below. 2) Terms and Conditions Upon signing and dating this Agreement, EUGENE WATER & ELECTP.IC BOARD and the CITY OF EUGEPIE have aoreed to comply with the terms outlined below as applicable to•the water use charge program(s) and E~JEB customer billing data files being transmitted between the aforementioned campanies. (a) The recipient will take the necessary Frecautions to treat the pro- gram(s), data, and associated documentation as confidential. - (b) The program(s) and data are to be used only for the recipient's ~vork or joint system studies conducted by the recipient's personnel. (c) The recipient will not • - use program(s), data, or associated dacumentation in a commercial manner for the work of other parties. ~ . . - make th~ program(s), data, or associated documentation available to another party under any conditions, except as in items (d) and (e) below. ~ ~ (d) If tfie program(s) are to be operated on computer facilities other than the recipient's, the recipient will obtain a signed Agreement whereby the necessary precautions will be taken to treat the pro- gram(s) and associated documentation as confidential. (e) Any request by third parties for the program(s), data and its docu- mentation shall be referred to the sender.~ (f) The recipient will not change, modify, or update any of the sender's data files. . ~ (g) The recipient will notify the sender and provide documentation for any chanoes made to programs necessary for the recipient's work, and the sender will then implement the program chanoes in tlie sender's production program library. No program change will be allowed to modify the sender's data files, as noted in iCem (f) above.
