~ . <br />:.,:.. ~. <br />.~~ <br />Failure to maintain any insurance coverage required by this contract shall be <br />cause for immediate termination of this contract by City. <br />17. GOMPREHENSIVE GENERAL LIABILITY. Contractor shall maintain a broad form <br />comprehensive general liability insurance policy with coverage of not less <br />than $500,000 combined single limit per occurrence, with aggregate of $1 <br />million, for bodily injury, personal injury or property damage. Such policy <br />shall contain a contractual liability endorsement to cover Contractor's <br />indemnification obligations. under this contract.. The policy shall also <br />contain an endorsement naming.City as an additional insured, in a form satis- <br />factory to City, and expressly pro"viding that the~interest of City shall not <br />be affected by Contractor's breach of policy provi.sions. <br />18. WORKERS' COMPENSATION. .If Contractor is an ind~ividual and will perform <br />the work without the help of others, Contractor shall nevertheless maintain a <br />personal policy of workers' compensation coverage..: If Contractor will per- <br />form the work with the help of others, Contractor shall comply with the <br />Oregon workers' compensation law by qualifying as a carrier-insured employer <br />or as a self-insured employer and shall strictly comply with all other. appli- <br />cable provisions of such law. Contractor shall provide City with such fur- <br />ther assurances as City may require from time to time that Contractor is in <br />compliance with these workers' compensation coverage requirements and the <br />workers' compensation law~. <br />19. SUBCONTRACTION. Contractor shall not subcontract the work, in"whole or <br />in part, without City's prior written approval. Contractor shaTl require any <br />approved subcontractor to agree, as to the portion subcontracted, to compl_y <br />with all obligations of Contractor specified in this contract. Notwithstand- <br />ing City's approval of a subcontractor, Contractor shall remain obligated for <br />full performance of this.contract and City shall incur no obligation to any <br />subcontractor. Contractor shall indemni~fy, defend and hold City harmless <br />from all claims of subcontractors. <br />20. ASSIGNMENT. Contractor shall not assign this contract, in whole or in <br />part, or any right or obligation hereunder, without City's prior written <br />approval. <br />21. INDEPENDENT CONTRACTOR. Whether Contractor is a corporation, partner- <br />ship, other Jegal entity, or an individual, Contractor is an independent <br />contractor. If Contractor is an individual, Contractor's duties will be <br />performed with the under..standing that'Contractor is a self-employed person, <br />has special expertise as to the services which Contractor is~to perform and <br />is customarily engaged in the ~ndependent performance of the same or similar <br />services for others. The manner in which the services are performed sha11 be <br />controlled by Contractor;.however, the nature of the services and the results <br />to be achieved shall be specified by City.. Contractor is not to be deemed an <br />empl`oyee or agent of C`ity and has no authority to make any binding commit- <br />ments or obligations on behalf of City except to the extent ex~pressly provid- <br />ed herein. <br />22. STANDARD CONTRACT PROVISIONS:: Gontractor shall comply with City's~ <br />Standard:Contract Provisions; a copy of which is attached hereto on Exhibit <br />A; as may be applicable to~contractual s'erv,ices performed hereunder. <br />_4- <br />
