<br />23, ~COMPLIANCE WITH°LAWS. Contractor shall comply w,ith all applicable
<br />federal, stat'e and local l.aws,~"rules, ordinances.and reguTations at all times
<br />and in the per-formance of the work.
<br />~. 24. OWNERSHIP OF WORK"Product. All work products of the Contractor which
<br />result from this contract-shall be the exclusive'property of City and shall
<br />~ 6e delivered to City upon comp;letion of the work~or the termination of this
<br />~ ~ contract: Contractor may re,tain copies of any work.product.
<br />25, NOTIGES. Any.notices permitted or required by this contract shall be, .
<br />deemed given when'personally~~::delivered or upon depos~it in the United States
<br />mail,.,postage fully prepaid, certified, return receipt reqwested, addressed
<br />to the parties at the address designated at the close.of this agreement; or
<br />such other address:'as eithe.r party may provide to the other by notice given .

<br />26: ATTORNEY FEES. In the event of any.action to enforce or interpret this
<br />contract, the prevaaling `party shall be entitled to.r'ecover from the losing
<br />party reasonable attorney.fees incurred in~the proceed_ing, as set by the `
<br />court, a:t trial, on appeal or upon review.
<br />27. INTEGRATION. Tfiis contract,embodies the entire agreement of the par- ~
<br />ties. The.re are no promises,.terms,,"c.onditions or obligations other than
<br />~ those .contained' herein. This.contract shall supersede all prior communica-
<br />tions, representations or agreements, either oral or written, between the
<br />parties. This contract sh'all not 6e.amended except irr writing, signed by
<br />both parties.
<br />- 28. INTERPRETATION. .This contract shall be goyerned by.and interpreted in
<br />accordance with the laws of the State of Oregon.
<br />29. JURISDIC7ION AND VENUE. All actions relating to this contract shall be
<br />tried before tfi e courts of the State of Oregon to the exclusion of all courts
<br />` which might have juris.diction apart from this provisi~on. Venue `in any action
<br />shall 1ie in the Circuit Court of Lane Coun,ty, Oregon.
<br />30. COMPLIANCE. The Contracto.r agrees,to.compl~y with Federal Executive
<br />Order No. 11246, entitled, "Equal Employment Opportunity" as supplemented in
<br />Department of labor Regul-at,ions (41 CFR, °Part 60) if,this "agreement" exceeds
<br />$10,000; Sections 103 and 107.of the'Contract Work Hours and Safety Standards
<br />. Act (40 USC 317-330): as supplemented by Department.,of Labor Regulations (29
<br />CFR,'.Part 5) if this~"agreement" exceeds $2,500; and all applicable stan-
<br />dards, orders, and regulations issued pursuant to the Clean Air Act.of 1970
