<br />reference incorporated herein (the Work). MWMC has reviewed and <br />conceptually approves the draft Request for Proposal document <br />prepared by City which is Exhibit B attached hereto and by this <br />reference'incorporated herein. It is understood that the details <br />of the Proposal may be modified by City at its sole discretion <br />provided the general scope of the Work is accomplished and the <br />expense to MWMC shall not exceed the amount stated in paragraph 3 <br />of this Contract. <br />2. Time for Completion. The Work shall be completed prior to <br />October 1, 1991. <br />3. Payment. <br />3.1 Basis for Compensation. <br />MWMC shall pay to City for the Work including any <br />expenses incurred by City in performing.the Work in an amount not <br />to exceed $630,000.00. Payments to City shall be based uport the <br />actual cost of acquiring, installing and testing the computerized <br />control system described in the Request for Proposal document <br />attached hereto as Exhibit B and related incidental expenses. <br />3.2 Method of Payment. <br />Within 30 days of billing by City, MWMC shall pay <br />the expenses incurred by City in the performance of the <br />Work. <br />3.3 Ad~ustment of BillinQS. <br />Should MWMC have questions regarding City's <br />billings those .questions shall be raised by written <br />notice to City before payment is due under this <br />Intergovernmental Coritract - 2 <br />
