2. EUGENE shall expend funds only on street improvements <br />adjacent to low and moderate income residences as described in <br />Recitals, Paragraph 5. <br />In consideration of the Recitals THE PARTIE3 AGREE as follows: <br />1. To the extent legally possible each party shall <br />indemnify, hold harmless and defend the other, its officials, <br />agents, and employees, from and against any and all claims, <br />damages, losses, and expenses, including attorney's fees, arising <br />in or from its performance of or failure to perform this agreement. <br />2.
