11. Liens and Encumbrances. <br />Tenant shall keep the Leased Premises and the Building, free from any liens <br />or encumbrances arising out of any work performed, materials fumished or <br />obligations incurred by Tenant, and shall indemnify and hold Landlord <br />harmless from any and all costs, liability or expenses (including attomeys' <br />fees) arising therefrom. <br />12. Assignmenf and Subletting. <br />Tenant shall not assign, transfer, mortgage, pledge, hypothecate or <br />encumber this Lease or any interest therein, nor sublet the whole or any part <br />of the Leased Premises, nor shall this Lease or any interest hereunder be <br />assignable or transferable by operation of law or by any process or <br />proceeding of any court, or otherwise without the written consent of Landlord <br />which shall not be unreasonably withheld. <br />13. Insurance and Indemnity. <br />13.1 Indemnification. <br />Landlord shall not be liable for injury to any person, or for the loss of <br />or damage to any property (including property of Tenant) occurring in <br />or about the Leased Premises from any cause whatsoever, except for <br />Landlord's negligence or willful misconduct. Tenant hereby <br />indemnifies and holds Landlord harmless from and against and <br />agrees to defend Landlord against any and all claims, charges, <br />liabilities, obligations, penalties, damages, costs and expenses <br />(including attorneys' fees) arising, claimed, charged or incurred <br />against or by Landlord from any matter or thing arising from Tenant's <br />use of the Leased Premises, the conduct of its business or from any <br />activity, work or other tbings done, permitted or suffered by the Tenant <br />in or about the Leased Premises, and Tenant shall further indemnify <br />and hold Landlord harmless from and against any and all claims <br />arising from any breach or default in the performance of any obligation <br />on Tenant's part or to be performed under the terms of this Lease, or <br />arising from any act or negligence of the Tenant, or any officer, agent, <br />employee, guest, or invitee of Tenant, and from all costs, attomeys' <br />fees, and liabilities incurred in or about the defense of any such claim <br />or any action or proceeding brought thereon and in case any action or <br />proceeding be brought against Landlord by reason of such claim. <br />Please Initial <br />o~r <br />Landl yd Tenant <br />Lease Agreement -8 <br />
