~ , •': . : .. ; PERSONAL SERVICES CONTRACT BETVNEEN: The City of Eugene, an Oregon Municipal Corporation (City) AND: Scudder 8 Associates Research (Contractor) CONTRACT NO.: 95-00328 RECITALS A. Contractor is engaged in the business of Marketing Research. B. City desires to engage Contractor to provide the services described in this agreement and Contractor is willing to provide such services on the terms and conditions set forth herein. C. The following are attached and incorporated as a part of this contract: Exhibit A- City of Eugene Standard Contract Provisions Exhibit B- Scope of Services AGREEMENT 1. Services to be Provided. Contractor agrees to provide to City the following services ("the Work"): The statement of work is contained in the attached Exhibit B. 2. Time for Completion. Contractor shall commence the Work on April 19, 1995, and shall complete the Work prior to June 30, 1995. 3. Consideration. The fixed consideration which City shall pay to Contractor for the work, inGuding any expenses incuned by Contractor ir~ performing the work, shall be $10,050 for 400, 15-minute telephone surveys, +$500 for an additional 100 non-EWEB customer telephone surveys for comparison, t$500 for an additional 2.5 minutes survey time per customer that may ~esult from changes in the length of the ~evised survey instnament. This amount is payable in three installments: $3,500 at the time the final survey instrument is accepted by the City (early May, 1995), $3,500 at the time the telephone survey is completed (anticipated to be May 15, 1995), and the remainder at the completion of the contract work (by June 30, 1995). 4. Termination. Notwithstanding any other provision hereof to the contrary, this con- tract may be terminated as follows: 4.1 The parties, by mutual written agreement, may terminate this contract at any time.
