Agreement, each party designates the following as its representative for <br /> purposes of this A reement: <br /> 9 <br /> University: Chris Ramey, <br /> Univ. Architect and <br /> Assoc. VP for Campus Planning and Real Estate <br /> University of Oregon <br /> 1276 University of Oregon <br /> Eugene, OR 97403-1276 <br /> City: Mark Schoening <br /> City Engineer <br /> City of Eugene <br /> 858 Pearl St. <br /> Eugene, OR 97401 <br /> Any notices permitted or required by this Agreement shall be deemed given <br /> when personally delivered or upon deposit in the United States mail, postage <br /> fully prepaid, and addressed to the representative designated in this Section 5. <br /> Either party may change its address by notice given to the other in accordance <br /> with this Section 5. <br /> 6. Records/Inspection. City shall maintain records of its payments to Qwest and <br /> Qwest identification of charges for the work performed pursuant to the <br /> Agreement for a period of not less than three (3) full fiscal years following <br /> completion of this contract. Upon reasonable advance notice, University or its <br /> authorized representatives may from time to time inspect, audit and make copies <br /> of any of City's records that relate to this contract. If any audit by University <br /> discloses that payments to City were in excess of the amount to which City was <br /> entitled under this contract, City shall promptly pay to University the amount of <br /> such excess. If the excess is greater than one (1) percent of the contract <br /> amount, City shall also reimburse University its reasonable cost incurred in <br /> performing the audit. <br /> 7. Assignment. Neither party shall assign this Agreement, in whole or in part, or <br /> any right or obligation hereunder, without the other party's prior written approval. <br /> 8. Compliance with laws. The parties shall comply with all applicable Federal, <br /> State, and local laws, rules, ordinances and regulations at all times in the <br /> performance of this Agreement. <br /> 9. Integration. This Agreement embodies the entire agreement of the parties. <br /> There are no promises, terms, conditions or obligations other than those <br /> contained herein. This Agreement shall supersede all prior communications, <br /> representations or agreements, either oral or written, between the parties. This <br /> Agreement shall not be amended except in writing, signed by both parties. <br /> Intergovernmental Agreement - 3 - <br /> <br /> (facilities relocation for University Arena) <br /> <br />
