' : , 2.5 Artist team shall determine the artistic expression, design, color, size, <br />material and texture of the Work, subject to review and acceptance by City as set forth <br />- in this Agreement. <br />2.6 Artist team shall provide all material, labor and transportation costs <br />associated with the Work. Artist team shall also include all other expenses associated <br />with execution of the Work, including but not limited to long distance telephone calls, <br />FAX, postage, reproductions, mailing, travel, meals and lodging. <br />3. Agreement: Criteria for Acceatance. <br />3.1 Agreement. Artist team hereby agrees to convey the Work to City and <br />City hereby agrees to accept ownership of the Work and allow its installation at the <br />Installation Site, as provided in this Agreement. <br />3.2 Conditions to City's Acceptance. City shall not be required to accept title <br />to the Work or to allow the Work to be installed at any location on City property unless <br />all of the following criteria are satisfied: <br />3.2 a. City's acceptance of the Work shall be strictly conditioned upon <br />Artist team's execution and delivery of the two copies of a Document of Title and <br />Acceptance, substantially identical to the sample document in Exhibit B prior to <br />delivery of the Work to the Installation Site. <br />3.2 b. Artist team shall notify City when the Work is ready for installation <br />and shall deliver the Work to the Installation Site for inspection by City during <br />City's normal working hours and days. Delivery shall be made on a day and at a <br />time mutually acceptable to City and Artist team. <br />3.2 c. When Artist team has delivered the Work to the Installation Site, <br />City will have the right to inspect the Work and to require Artist team to make <br />any changes or corrections to the Work allowed by Section 3.3. If City does not <br />provide Artist team with written notice of any changes or corrections that must be <br />made to the Work, the Work shall be presumed approved by City. If City does <br />provide timely notice to Artist team of its request for changes or corrections of <br />the type described in Section 3.3, Artist team shall complete all changes <br />properly requested by City to City's satisfaction without cost or expense to City. <br />3.2 d. City will signify its final acceptance of the Work by executing and <br />delivering a copy of the Document of Title and Acceptance to the Artist team. <br />3.2 e. Both parties understand and acknowledge that City's acceptance of <br />the Work is conditioned upon the delivery of the Work to the Installation Site <br />without cost, expense or risk of liability to the City. <br />3.3 Revisions Requested by City. City may require Artist team to make <br />changes or corrections to the Work only for the following reasons: <br />3.3 a. To make the Work comply with applicable laws or regulations of <br />any governmental regulatory agency having jurisdiction over the installation; or <br />3.3 b. To require the Work to conform to the specifications in Exhibit A. <br />Page 3 <br />
