', <br />This Agreement maybe altered, amended or modified only by an instrument in writing, <br />executed by the parties to this Agreement and by no other parties. <br />15; A. Amtrak may terminate this Agreement at any time upon written notice to the City if the <br />City defaults in its obligations hereunder. In the event Amtrak terminates this Agreement <br />pursuant to the preceding sentence: (a) Amtrak will not be obligated to make any further <br />payment(s) until the Work is completed and acceptable to Amtrak and (b) Amtrak may pursue <br />any and all remedies available at law or inequity. <br />B. Upon thirty (30) days prior notice, Amtrak may terminate this Agreement and Amtrak's <br />obligations to make any portion or all of Amtrak's Contribution whenever the requisite <br />Amtrak funding becomes unavailable through reduction or failure of appropriation, or <br />otherwise. In the event Amtrak terminates this Agremment and Amtrak's obligations to make <br />any portion or all of Amtrak's Contribution pursuant to the preceding sentence, Amtrak shall <br />not be obligated to make any contributions after the date of the notice of termination. <br />C. Neither party shall have any obligations with regard to this Agreement or the otber party <br />after the date of tbe termination, except as otherwise expressly stated in this Agrcement. <br />16. The provisions of this Agremment shall be subject to force majeure. In the event of a force <br />majeure event, the parties shall not be liable for any failure to perform under the terms of this <br />Agreement or for any delay or cancellation in connection with such performance during the <br />force majeure event. <br />17. Each individual executing this Agremment represents and warrants that he/she is duly <br />authorized to execute and deliver this Agreement on behalf of tbe respective parties. <br />18.
