~~ <br />• ~ <br />FUNDING AGREEMENT <br />BETWEEN <br />NATIONAL RAII.ROAD PASSENGER CORPORATION <br />AND <br />THE CITY OF EUGENE, OREGON <br />THIS FUNDING AGREEMENT (the "Agreement") made as of the / ~ day of <br />~}'~Yk ~1 2oq 1 , by and between the NATIONAL RAILROAD PASSENGER CORPORATION, a District of <br />' Columbia corporation ("Amtrak's and tbe CITY OF EUGENE, OREGON (tbe "Cit}~'). <br />WHEREAS, as of tbe date of this Agreement, Amtrak operates a rail passenger station at 433 <br />Willamette Street, Eugene, Oregon; and <br />WHEREAS, tbe Station and all adjoining property is now privately beld; and <br />WHEREAS, the City intends to purchase and renovate the existing passenger station ("Station") to <br />accommodate growing rail service; and <br />WHEREAS, the Federal Government through Surface Transportation Acts and Transportation <br />Enhancetrient funding, administered by the Oregon Department of Transportation, has committed Two <br />Million Seven Hundred and Fifty-Seven Thousand Dollars ($2,757,000) to tbe acquisition and remodeling <br />of the existing station; and <br />\Ilr-' V~IiEREAS, Amtrak intends to contribute up to One Million Dollars ($1,000,000) to the City <br />towards the renovation of the Station in exchange for Amtrak's right to occupy the Station upon completion <br />("Amtrak's Contribution"). <br />NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree <br />as follows; <br />1. The City will prepare or cause to be prepared all purchase agreements, plans, specifications <br />and construction documents necessary to complete the purchase and renovation in accordance <br />with all applicable Federal, State and local laws, regulations, rules, codes and ordinances <br />("Construction Documents"). The City will submit the Construction Documents to Amtrak <br />for review and approval and will make any reasonable changes to the Construction <br />Documents requested by Amtrak. After approval of the Construction Documents by Amtrak, <br />the City will submit any proposed changes to Construction Documents to Amtrak for <br />Amtrak's reasonable review and approval. The City will perform or cause to be performed all <br />work necessary to purchase the station. The City will perform or cause to be performed the <br />recruitment and selection of design consultants to prepare design and construction documents <br />for tbe renovation of the station. Recruitment and selection shall conform to standard ODOT <br />and Federal process. Tbe City will provide the draft Request for Proposals for consultant <br />services to Amtrak for comment and will make changes requested by Amtrak. Amtrak will be <br />invited to participate in tbe consultant selection and design review process. The scope of <br />work must include a requirement for maintaining Amtrak operations at the Station throughout <br />the renovation and remodeling. <br />2. The City will perform or cause to be performed all work necessary to complete the purchase <br />and renovation of the Station in accordance with the Construction Documents ("Work'. If <br />the City hires a contractor to perform the Work, the City will prepare the scope of work for <br /> <br /> <br />
