PERSONAL SERVICES CONTRACT Architect and Engineer BETWEEN: The City of Eugene, an Oregon Municipal Corporation (City) AND: GPR Data (Contractor) CONTRACT NO.: 2005 - 00224 RECITALS A. Contractor is engaged in the business of Ground Penetrating Radar Analysis. B. City desires to engage Contractor to provide the services described in this agreement and Contractor is willing to provide such services on the terms and conditions set forth herein. C. The following are attached and incorporated as a part of this contract: Exhibit A -City of Eugene Standard Contract Provisions Exhibit B -Scope of Services Exhibit C -Schedule of Fees ~ Rates AGREEMENT 1. Services to be Provided. Contractor agrees to provide to City the following services ("the Work"): The statement of Work is contained in the attached Exhibit B 2. Time for Completion. Contractor shall commence the Work upon signing, and shall complete the Work prior to May 31, 2005. 3. Consideration. The consideration which City shall pay to Contractor, for both the Work performed by Contractor and the expenses by Contractor in performing the Work, shall not exceed $13,500 based on the schedule of rates described in the attached Exhibit C. City shall make progress payments, based on monthly invoices from Contractor, together with a progress report containing a summary of the Work completed for which payment is requested. City's payment shall be made within 30 days after Contractor's statement. Contractor shall not be entitled to reimbursement for travel or other expenses unless specified on the attached schedule of rates. If Contractor is entitled to reimbursement for any such expenses, they shall be properly documented and submitted in accordance with City requirements. 4. Termination.
