PERSONAL SERVICES CONTRACT BETWEEN: The City of Eugene, an Oregon Municipal Corporation (City) AND: ECONorthwest. (Contractor) CONTRACT NO.: .2003-5331 RECITALS A. Contractor is engaged in the business of providing economic consulting for public agencies. B. City desires to engage Contractor to provide the services described in this agreement and Contractor is willing to provide such services on the terms and conditions set forth herein. C. The following are attached and incorporated as a part of this contract: Exhibit A - City of Eugene Standard Contract Provisions Exhibit B - Scope of Services and Costs Exhibit C -Related Scope of Services: UO (City Contract #2003-5332) 4 AGREEMENT 1. Services to be Provided. Contractor agrees to provide to City the following services ("the Work"): The statement of work is contained in the attached Exhibit B. 2. Term. This Contract shalt be effective for 12 months. 3. Consideration. The consideration which City shall pay to Contractor, for both the Work performed by Contractor and the expenses incurred by Contractor in performing the Work, shall be $9,120. City's payments shall be made within 30 days after Contractor's statement. Contractor shall not be entitled to reimbursement for travel or other expenses unless specified on the attached schedule of rates. If Contractor is entitled to reimbursement for any such expenses, they shall be properly documented and submitted in accordance with City requirements. 4. Termination. Notwithstanding any other provision hereof to the contrary, this contract may be terminated as follows: 4.1 The parties, by mutual written agreement, may terminate this contract at any time. 4.2 Either party may terminate this contract in the event of a breach of the contract by the other P~Y• 4.3 The City may terminate this contract at any time or for any reason, upon not less than seven days' notice in advance of the termination date.
