PERSONAL SERVICES CONTRACT BETWEEN: The City of Eugene, an Oregon Municipal Corporation (City) AND: Marvin and Lilli Ann K. Rosenberg (Contractor) CONTRACT NO.: 2004-00211 RECITALS A. Contractor is engaged in the business of providing artwork for public spaces. B. City desires to engage Contractor to provide the services described in this agreement and Contractor is willing to provide such services on the terms and conditions set forth herein. C. The following are attached and incorporated as a part of this contract: Exhibit A - City of Eugene Standard Contract Provisions Exhibit B - Contractor's Proposal -Oakmont Park AGREEMENT 1. Services to be Provided. Contractor agrees to provide to City the following services ("the Work"): The statement of work is contained in the attached Exhibit B. 2. Time for Completion. Contractor shall commence the Work on upon signing of the contract, and shall complete the Work prior to November 1, 2003. 3. Consideration. The consideration which City shall pay to Contractor, for both the Work performed by Contractor and the expenses incurred by Contractor in performing the Work, shall not exceed $5000 based on the schedule of rates described in the attached Exhibit B. City shall make progress payments as follows: $2500 upon signing of contract and the remaining $2500 after completion of project. City's payment shall be made within 30 days after Contractor's statement. Contractor shall not be entitled to reimbursement for travel or other expenses unless specified on the attached schedule of rates. If Contractor is entitled to reimbursement for any such expenses, they shall be properly documented and submitted in accordance with City requirements. 4. Termination. Notwithstanding any other provision hereof to the contrary, this contract may be terminated as follows: 4.1 The parties, by mutual written agreement, may terminate this contract at any time.
