PERSONAL SERVICES CONTRACT BETWEEN: The City of Eugene, an Oregon Municipal Corporation (City) AND: Henderson Land Services LLC (Contractor) CONTRACT NO.: 2004-05333 RECITALS A. Contractor is engaged in the business of Land Services. B. City desires to engage Contractor to provide the services described in this agreement and Contractor is willing to provide such services on the terms and conditions set forth herein. C. The following are attached and incorporated as a part of this contract: Exhibit A - City of Eugene Standard Contract Provisions Exhibit B - Scope of Services Exhibit C - Schedule of Rates AGREEMENT 1. Services to be Provided. Contractor agrees to provide to City the following services ("the Work"): The statement of work is contained in the attached Exhibit B. 2. Time for Completion. Contractor shall commence the Work on Upon Signature, and shall complete the Work prior to December 31, 2008. 3. Consideration. The consideration which City shall pay to the Contractor for the work, including any expenses incurred by Contractor in performing the work, shall not exceed $28,050 based on the attached schedule of rates. Monthly invoices shall include a progress report containing a summary of the services completed for which payment is requested. City's payment shall be made within 30 days after receipt of Contractor's statement unless City notifies Contractor of items in dispute. Contractor shall not be entitled to reimbursement of travel of other expenses unless specified on the attached schedule of rates. If Contractor is entitled to reimbursement for any such expenses, they shall be properly documented and submitted in accordance with City requirements. 4. Termination. Notwithstanding any other provision hereof to the contrary, this contract maybe terminated as follows: 4.1 The parties, by mutual written agreement, may terminate this contract at any time.
