i TRADE SERVICES CONTRACT (Non-Facility) BETWEEN: The City of Eugene, an Oregon Municipal Corporation (City) AND: Spec Industries, Inc. (Contractor) CONTRACT NO.: 2005 - 00217 EFFECTIVE . DATE: December 27, 2004 RECITALS A. Contractor is engaged in the business of TV Inspection Services, and has obtained and currently holds all licenses, permits, certifications, bonds or other authorization required by Federal, State or local law yr regulations to engage in such business. B. City desires to engage Contractor to perform the services described in the attached Exhibit C (the "Services"). Contractor has represented that it is qual~ed to perform the Services, and desires to enter into this contract with City on the terms set forth below. AGREEMENT 1. Engagement. City hereby engages Contractor to perform the Services, and Contractor agrees to perform the Services, according to the terms and conditions set forth herein and in the following exhibits: Exhibit A -City of Eugene Standard Contract Provisions Exhibit B -Schedule of Services Exhibit C -Description of Services 2. Term. The term of this contract shall be for 12 days unless earlier terminated in accordance with paragraph 16. 3. Consideration. As consideration for performance of the Services, City shall pay $7,000.00 to Contractor within 30 days of completion of performance of the Services to the satisfaction of City. Except as expressly set forth herein, Contractor shall bear all expenses of performing the Services. 4. Equipment. Contractor shall provide all materials, equipment, supplies or o#her items required for performance of the Services. 5. Contract Administration. Each party designates the following as its representative for purposes of notice pursuant to paragraph 23, and for purposes of administering this contract: Non-Facility Trade Service Contract-Page 1 (Revised December 1997)
