Contractor is engaged in the business of Organizational Development, <br /> Consulting/Facilitation. <br /> B. City desires to engage Contractor to provide the Services described in this agreement and <br /> Contractor is willing to provide such Services on the terms and conditions set forth herein. <br /> C. The contract described herein was awarded under the exemption or procedure authorized <br /> by R-1 X15-4.5.5. <br /> AGREEMENT <br /> 1. Incorporation of Exhibits; Definitions; Contractor's Representations and Warranties. <br /> 1.1 Exhibits. The contract between the parties (the "Contract") includes and <br /> incorporates into this document (this "Agreement") all of the following: <br /> Exhibit A -Standard Contract Provisions <br /> Exhibit B -Scope of Work and Schedule of Fees and Rates <br /> 1.2 Definitions. With the exception of proper nouns, capitalized terms not otherwise <br /> defined herein shall have the following meanings. <br /> 1.2.1 "Agreement" means this document, entitled Personal Services Contract and <br /> ending with the signatures of all parties. <br /> 1.2.2 "Contract" means the written statement of the parties' mutual and respective <br /> agreements, promises, undertaking and rights as set forth in this Agreement <br /> and all incorporated exhibits. <br /> CONTRACT NUMBER 2007-00213 Page 1 <br /> <br />
