4. The City and Developer enter into this agreement to set forth the terms and conditions <br /> under which City will manage construction of the Project using the Grant and funds <br /> provided by Developer, including the funds held under the Deposit Agreement. <br /> AGREEMENT <br /> SECTION 1. Exhibits; Certain Defined Terms. <br /> (a) Agreement Exhibits. This agreement ("Agreement") includes the following <br /> exhibits: <br /> Exhibit A: Depiction of Project <br /> Exhibit B: Deposit Agreement and directions to Umpqua Bank dated July 22, <br /> 2003, releasing Phase 1 deposit. <br /> Exhibit C: Form of Joint Instructions to Umpqua Bank to transfer Phase 2 deposit <br /> to City. <br /> Exhibit D: Grant Agreement between Lane County and City, including draft <br /> Amendment 1. <br /> (b} Definitions. Capitalized terms which are not proper nouns and are not otherwise <br /> defined herein, shall have the meaning set forth below: <br /> Administrative Costs include all City's costs and expenses properly allocated to <br /> the Project in accordance with the City's standard cost-accounting procedures, <br /> including without limitation, personnel costs allocated to such activities as review <br /> and inspection of Project plans, solicitation and administration of the construction <br /> contract, project management, and warranty period inspection, as well as external <br /> costs, such as the cost of advertising invitations to bid. <br /> Deposit Account means the account within Umpqua Bank where the Phase 2 <br /> Deposit has been held. <br /> Grant means all moneys that may be expended for Project costs under the Grant <br /> Agreement, a copy of which is attached to this Agreement as Exhibit D. <br /> Phase 2 Deposit means all amounts held by Umpqua Bank under the Deposit <br /> Agreement for the "Phase 2" "Improvement" as described in the Deposit <br /> Agreement, a copy of which is attached to this Agreement as Exhibit B. <br /> Project Casts includes all costs required to be expended for the licensing, <br /> permitting, construction and installation of the Project, including, without <br /> limitation, Administrative Costs. <br /> SECTION 2.
