• <br /> AGREEMENT <br /> 1 Definitions. <br /> 1.1 Contract. The "Contract" shall mean the Request for Proposal issued by City as RFP No. <br /> 94 -0163 (the "RFP "), the RJN Computer Services proposal dated May 25, 1994, as modified or <br /> clarified by the correspondence described in Exhibit D hereto (hereafter referred to as the "Proposal "), <br /> this document and any addenda thereto or modifications thereof, including all properly executed <br /> change orders and all other requirements incorporated by specific reference thereto. <br /> 1.2 Svstem. The "System" shall mean the materials, equipment, software, support services <br /> and training, and conversion services described in the attached Exhibits B, C, D, E, and F, all to be <br /> furnished, installed, and tested in accordance with this Contract. <br /> 1.3 Work. The "Work" shall mean furnishing, installing, and testing of the System in <br /> - accordance with this Contract. <br /> 2 Seller's Agreement to Perform. In consideration of payment of the purchase price by City, <br /> Seller agrees to perform the Work in accordance with this Contract. <br /> 3 Purchase Price. Subject to modifications for change orders in accordance with paragraph 6.3, <br /> City shall pay the amount of $22,405.00 in accordance with the following schedule: <br /> 20% upon execution of this Contract by City and Seller <br /> 25% due ten (10) working days after initial product delivery <br /> 20% due ten (10) working days after successful completion of installation, as defined in <br /> paragraph 5.1 <br /> 30% due 30 days after City's acceptance of the System <br /> 5% due one year after execution of this contract upon satisfactory completion of the warranty <br /> period <br /> In accordance with Exhibit F, City shall pay an additional amount not to exceed $2,600 for additional <br /> programming for modifications necessary to meet City's requirements, and an additional amount not <br /> to exceed $688 for the Windows version of the Tree Inventory Management System. Such additional <br /> amounts shall be paid upon completion of an acceptance period following the installation of such <br /> program modifications or Windows version, as defined in paragraph 5.1. <br /> 4 Performance of the Work. <br /> 4.1 System Design; Work Schedule. The System shall be installed provided in the <br /> Contract documents. Seller will furnish to City a detailed design of the System upon completion of <br /> a system design workshop. A schedule for performance of the Work ( "Work Schedule ") shall be <br /> developed by mutual agreement of the parties and attached hereto as Exhibit G, provided that the <br /> Work shall be substantially completed not later than three months after the effective date of this <br /> Contract, subject to extensions of time as provided herein. <br /> Purchase Contract - 2 <br />
