Exhibit G <br /> RJN COMPUTER SERVICES PROGRAM LICENSE <br /> Subject to the following terms and conditions, RJN Computer Services, Inc. referred to as "RJN" <br /> hereby grants The City of Eugene, Oregon, referred to as the "Client ", a license to use the CASS- <br /> WORKS software for a Tree Inventory Management System as described in Exhibits E and F, and <br /> documentation, referred to as the "Program ", for variable (see Exhibit F) users and for operation on <br /> the Client's PC Network with a UNIX Workstation Server as indicated below. <br /> TERM OF AGREEMENT <br /> This License Agreement shall become effective when the Program is delivered by RJN and accepted <br /> by the Client. Breaking the seal on the Program package submitted shall constitute Client acceptance. <br /> 2. LICENSE <br /> Client may not permit concurrent access to the Program by more than the number of users as shown <br /> above for which the license was ordered. Transfer of a Program to a higher capacity computer, <br /> and /or upgrade to use by additional concurrent users is subject to payment of a transfer or upgrade <br /> fee as specified in the applicable RJN Price List. Client may not use the Program for commercial <br /> timesharing, rental or service bureau use. The Program may not be transferred, sold, assigned, or <br /> otherwise conveyed to another party without RJN's prior written consent. Transfer of the Program <br /> outside the country in which delivery is taken by Client is not permitted without RJN's prior written <br /> consent. Client agrees not to cause or permit reverse engineering, disassembly, or decompilation of <br /> the Program. Client agrees not to remove any product identification, copyright notices, or other <br /> notices or proprietary restrictions from the Program. <br /> 3. COPYING RESTRICTIONS <br /> The Program is the proprietary product of RJN and is protected by copyright law. Client may make <br /> one copy of the Program for backup purposes; other copies shall be made only to the extent of the <br /> number of licensed users as shown above. <br /> 4. RJN'S RIGHTS <br /> By virtue of this Agreement, Client acquires only the right to use the Program and does not acquire <br /> any rights of ownership of the Program or the media upon which it is embodied. RJN shall at all <br /> times retain all rights, title, and interest in the Program and the media. <br /> 5. INDEMNIFICATION <br /> RJN warrants that it has full title to the Program and that it shall protect Client harmless from all <br /> costs, expenses, and damages including legal fees ongoing or alleged to arise out of any claim or <br /> infringement ofany patent obligation of confidentiality or copyright brought by any person concerning <br /> the use or sale of the Program covered under this Agreement. <br /> -G1- <br />
