e <br />DRAFT <br />May 19, 2000 <br />FOR REVIEW & DISCUSSION ONLY <br />NOT FOR EXECUTION <br />GROUND LEASE <br />BETWEEN: City of Eugene, an Oregon ( "City") <br />municipal corporation <br />AND: Willamette Sciences & <br />Technology Center, Inc. <br />EFFECTIVE <br />DATE: , 2000 <br />RECITALS <br />A. City is the owner of real property within the City of Eugene, Oregon, inside an area <br />commonly known as Alton Baker Park ( "Park "). <br />B. WISTEC now desires to acquire from City a building located on a portion of the Park <br />( "Building ") which is currently being leased by WISTEC under a lease dated March 1, 1999, <br />and to lease a portion of the land within the Park that underlies and is adjacent to the <br />Building, all as more fully described on Exhibit 1 ( "Land "). <br />C. City has agreed to lease the Land to WISTEC under certain terms and conditions set forth <br />in this Ground Lease ( "Lease "). <br />D. The public purpose derived from WISTEC's tenancy is the provision of scientific and <br />educational resources for the public and students within Lane County. <br />E. The following exhibits are attached and incorporated herein: <br />Exhibit 1- Legal Description <br />Exhibit 2 - City of Eugene Standard Contract Provisions <br />AGREEMENT <br />Now, therefore, in consideration of the foregoing Recitals, which by this reference are <br />incorporated herein as if set forth in full, and of the covenants, conditions and obligations on the part <br />of each party to be kept and performed, it is hereby agreed as follows: <br />GROUND LEASE - 1 <br />
