17.2 Notwithstanding the foregoing to the contrary, The Science Factory shall assume the <br />existing planetarium lease originally entered into between City and the Lane <br />Education Service District ( "Lane ESD "). In addition, The Science Factory shall <br />immediately begin good faith negotiations with Lane ESD and/or the Lane County <br />Fair Board ( "Planetarium ") for a new lease, commencing at the termination of the <br />existing lease, to allow the Planetarium to perpetuate its current use of the building <br />for purposes of operating a planetarium for a period of ten (10) years, or such lesser <br />period if the Planetarium relocates its operation prior to the end of such ten (10) year <br />period. The provisions of the new lease shall perpetuate the general benefits and <br />obligations of the existing lease, except that The Science Factory may require that the <br />Planetarium pay a flat monthly rent in an amount reasonably calculated to <br />compensate The Science Factory for the risks and expenses of owing and operating <br />the portion of the Building and Land used by the Planetarium and for the <br />Planetarium's pro rata share of utilities, maintenance and related expenses as required <br />under the existing lease. If The Science Factory and the Planetarium are not able to <br />agree on the monthly rent, the City may make the determination, based on the <br />foregoing standards. Further, the new lease shall contain extension options parallel <br />to and consistent with the Extension Options described above in Paragraph 3. <br />18. Holding Over. If, after expiration or earlier termination of this Lease, The Science Factory <br />shall remain in possession of the Land, with or without the express written consent of City, <br />then the Lease shall convert to a month -to -month tenancy, at a rental rate equal to the rent <br />applicable to the Land at the date of such termination or expiration, plus all other charges to <br />be paid by The Science Factory, and otherwise subject to all terms, covenants, conditions and <br />provisions of this Lease. <br />19. Right of Enjoyments. Upon compliance by The Science Factory of its various obligations <br />hereunder, it shall have the rights of possession and quiet enjoyment of the Land during the <br />term of this Lease or any extension thereof, subject to the reservations in favor of City and <br />other provisions of this Lease. <br />20. Notices. Any notice required or permitted under this Lease shall be delivered and served <br />personally, or alternatively, may be deposited in the United States mail, postage prepaid, <br />registered or certified, return receipt requested, addressed to the parties as shown below: <br />City: <br />Facilities Division Manager <br />210 Cheshire Avenue <br />Eugene, Oregon 97401 <br />The Science Factory: <br />Executive Director <br />P.O. Box 1518 <br />Eugene, Oregon 97440 -1518 <br />Such notice, if mailed within the State of Oregon, shall be deemed delivered upon the second <br />day following the date postmarked. If mailed outside the State of Oregon, notice shall be <br />deemed delivered upon the fifth day following the date postmarked.
