ACQUISITION AGREEMENT <br />BETWEEN: City of Eugene, a Oregon municipal corporation ( "City") <br />AND: The Science Factory, Inc., an Oregon ( "The Science Factory ") <br />nonprofit corporation formerly known as <br />Willamette Science and Technology Center, Inc., <br />and as Wistec <br />EFFECTIVE <br />DATE: W , 2002 <br />RECITALS <br />A. City is the owner of real property ( "Property ") located within the City of Eugene, Oregon, <br />inside an area commonly known as Alton Baker Park, which Property is more particularly <br />described on Exhibit A. <br />B. The Science Factory is in possession of a building located on a portion of the Park <br />(`Building "), under a lease between City and The Science Factory dated March 1, 1999, <br />which Building the City Manager has declared to be surplus property. <br />C. The Science Factory now desires to acquire the Building from City and to lease an <br />appurtenant portion of the Property. <br />D. The City Council has directed City staff to proceed with the disposal of the Building and the <br />lease of appurtenant land under certain terms and conditions relating both to the land and <br />Building. <br />E. The public purpose and benefit derived from The Science Factory's acquisition of the <br />Building and a lease of appurtenant land is the continuation of a beneficial community <br />service (that is, the provision of scientific and educational resources to the public generally <br />and to students throughout the State of Oregon) in a park setting conducive to scientific and <br />educational activities and readily accessible by and visible to the public. <br />F. Accordingly, City wishes to work with The Science Factory to assure The Science Factory's <br />long -term viability and ability to continue to fulfill the beneficial community service <br />provided by The Science Factory, by conveying the Building to The Science Factory <br />pursuant to this Acquisition Agreement ("Agreement") and leasing the underlying and <br />certain appurtenant land ( "Land ") to The Science Factory pursuant to a separate Ground <br />Lease ("Ground Lease "). To provide for consistent and uniform rights and obligations of the <br />parties with respect to both the Land and Building, and to provide for consistent and uniform <br />ACQUISITION AGREEMENT - 1 <br />
