x <br /> tots I A GREEM ENT <br /> A For <br /> W ILLAMETTE iLL4Mttre,RJV BRIDGE P20 SOUTH BANK PATH ., <br /> THIS AGREEMENT entered into by and between the City of Eugene and the City of Springfield, <br /> both municipal corporations of the State of Oregon. <br /> RECITALS <br /> 1. ORS 190.010 provides that units of local government may enter into agreements for <br /> the performance of any and all functions and activities that a party to the agreements, its officers <br /> or agents, have authority to perform. <br /> 2. As part of the Willamette River Bridge P20 South Bank Path ( "Path ") designed and <br /> built by the Oregon Department of Transportation, the Kim RA -17 City of Eugene street lighting <br /> luminaire standard will be used. <br /> AGREEMENTS <br /> CITY OF EUGENE AGREES TO: <br /> 1. Maintain the street lighting luminaires numbered 2841 through 2849 located on <br /> that portion of the Path located within the jurisdiction of the City of Springfield. <br /> Those luminaires are shown on Exhibit A. <br /> 2. Invoice to CITY OF SPRINGFIELD, based on fee for service for street Tight <br /> maintenance eligible expenses. <br /> 3. Provide CITY OF SPRINGFIELD with detailed documentation of expenditure <br /> within the invoice. <br /> CITY OF SPRINGFIELD AGREES TO: <br /> 1. Reimburse the CITY OF EUGENE for the maintenance of the nine (9) street <br /> lights within the City of Springfield's jurisdiction based on fee for service. <br /> 2. Grant access to Springfield right of way and property to personnel of the City of <br /> Eugene for the purpose of performing the required maintenance. <br /> BOTH PARTIES AGREE: <br /> 1. The term of this agreement commences on the date ( "Effective Date ") on which <br /> this Agreement has been duly executed, or the date the luminaires go into <br /> service, whichever is later. <br /> 2. The CITY OF EUGENE may, at any time, upon 60 days prior written notice to the <br /> CITY OF SPRINGFIELD, terminate this Agreement. <br /> However, any such termination shall be without prejudice to any liabilities or <br /> obligations of any part already accrued as of receipt of the written notice.
