06/28/95 16:35 '8`503 6723255 HARRANG.LONG(RB) ->-►-► EUGENE PW MAINT. 1002
A COMMUNITY, NON- PROFTF PRESCHOOL AND CHILD CARE CENTER
169 North Washington Street, Eugene Oregon 97401 (503) 344-1165
EXECUTIVE DIRECTORS: Diane Schultz Michelle Lang
. 1
June 21, 1995
- y
Mr. Glenn Klein , Attorney /
Harrang, Long, Gary, Rudnick, PC
101 E. Broadway, Suite 400
Eugene, Oregon 97401 1
Dear Mr. Klein:
Since 1987
Real Property Sale Agreement and Revocable Parking License Agreement drafts were
forwarded to the Board of Directors of Child Card Inc. several months ago by your firm.
We have had these documents reviewed by our legal counsel and have been attempting Board of Directors:
to contact Dennis Waldrop to discuss these agreements. We have recently learned
Dennis is no longer with your firm and that our file may have been given to you. Debra Delegaro.
President
Overall, the documents reflect our understanding of the agreements between the City of
Eugene and Child Care Inc. There are a few areas where we would like to suggest Julie Hareris,
changes in wording that would further clarify these agreements. The following are the Vice - President
items regarding the Real Property Sale Agreement (copy enclosed) we had been
attempting to discuss with Dennis: Charlene larison,
Treasurer
• Recital. Identifying the property by legal description, not just tax lot numbers, as
tax lot numbers arc changed frequently as property is subdivided, partitioned, etc. Margaret Theisen,
Secretary
• Agreement (Closing, paragraph 2). As referred to further in the document (Item
4.2). our understanding is that closing is to take place on or before February 1, Cindy Mig
2001.
Dean Walker
• Conditions (Item 3.1.2). Does "other funding commitment" include the donation
of supplies and labor? This will be a significant portion of our "funding" of this Majeska Seese -Green
project.
Lori Chaffin -Britt
• Deed (Item 4.1). Can the wording referring to "the current practice of Buyer of
being open to all families residing within the City of Eugene" be reworded to state Chris Peck
our current practice of all Eugene families being eligible to enroll? To stay within
CSD guidelines, for the number of children we are licensed to have in the
program. we are unable to be open to all families seeking care.
